Terms of Service

1. Eligibility

The Services are available to both businesses (such as CLE providers) and individual users (including attorneys and other participants in CLE programs). By using the Services, you represent that you are at least 18 years old and have the authority to enter into these Terms.

2. Services Provided

CLE Hero provides a software-as-a-service platform that enables continuing legal education providers to host, manage, and distribute CLE programs, and enables individual users to view programs, track participation, and receive completion certificates.

3. Accounts

You may need to create an account to use certain features. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Content Ownership and License

CLE providers may upload course materials, videos, or other content ("Customer Content"). CLE Hero does not claim ownership of Customer Content. By uploading Customer Content, you grant CLE Hero a worldwide, non-exclusive, royalty-free license to host, store, display, and distribute the content solely for the purpose of operating and providing the Services.

5. User Conduct

You agree not to:

• Use the Services for any unlawful or fraudulent purpose.
• Copy, modify, distribute, or reverse engineer the Services.
• Upload content that infringes on third-party rights or contains harmful code.
• Interfere with or disrupt the Services.

CLE Hero may suspend or terminate accounts that violate these Terms.

6. Payments

For CLE providers, subscription fees and payment terms are governed by separate contracts with CLE Hero. Individual users may access programs through those providers and may be subject to additional terms provided by them.

7. Intellectual Property

The Services, including software, design, and branding, are owned by CLE Hero or its licensors and are protected by intellectual property laws. You may not use CLE Hero's name, logo, or trademarks without prior written consent.

8. Third-Party Logos and Trademarks

Logos, trademarks, and images of third parties that may appear on the Site are the property of their respective owners. Their appearance does not imply affiliation with, sponsorship of, or endorsement by CLE Hero. CLE Hero uses such references solely for descriptive or informational purposes to indicate that attorneys or participants from those organizations have engaged with CLE programs delivered through the Services.

9. Disclaimer of Warranties

The Services are provided "as is" and "as available." CLE Hero disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, CLE Hero will not be liable for indirect, incidental, consequential, special, or punitive damages. CLE Hero's total liability for any claim will not exceed the amount you paid to CLE Hero for the Services in the 12 months preceding the event giving rise to the claim.

11. Termination

CLE Hero may suspend or terminate your access to the Services at any time, with or without cause. Upon termination, your right to use the Services ends immediately, but provisions of these Terms intended to survive termination will remain in effect.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Illinois, without regard to conflict of laws principles.

Binding Arbitration. Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will take place in Chicago, Illinois, before a single arbitrator. Judgment on the award may be entered in any court having jurisdiction.

Exceptions. Either party may bring a claim in small claims court or seek injunctive or equitable relief in a court of competent jurisdiction in Cook County, Illinois, to protect its intellectual property rights.

Class Action Waiver. You and CLE Hero agree that disputes must be brought on an individual basis and not as a plaintiff or class member in any purported class, collective, or representative action.

13. Changes to Terms

We may update these Terms from time to time. The updated Terms will be posted on this page with a new effective date. Continued use of the Services constitutes acceptance of the updated Terms.
